The following terms of use, including the terms of our privacy policy (collectively, the “Terms”), constitute the legal agreement which governs and applies to your use of this website, available at www.artmedical.com    (the “Site”), maintained or owned by ART MEDICAL Ltd. (“ART”).

The Terms set forth herein apply to any content and information that are or become available on the Site, including, without limitation, any videos available on the Site (“Videos“, and collectively, the “Content”). By accessing and/or using the Site, you acknowledge that you have read and that you agree to be bound by the Terms, without any limitation or qualification. If you do not agree to the Terms, do not connect to, access or use the Site in any manner whatsoever. The Site is available only to individuals who possess the legal authority to enter into these Terms and to form a binding agreement under any applicable law.

1.     USE OF THE SITE.

Unless otherwise explicitly permitted under these Terms or in writing by ART, you may not (and you may not permit anyone to): (a) infringe and/or violate any of the Terms; (b) use the Site for any purpose for which the Site is not intended, including, without limitation, a purpose which is immoral and/or unauthorized and/or illegal and/or in violation of any law, regulation and/or statutory provision, including use which constitutes or may constitute an infringement of privacy, copyright infringement, unjust enrichment, or any other unlawful use; (c) bypasses the means used by ART to protect user privacy; (d) make use of the Site which is intended to transmit or otherwise make accessible any virus, worm, Trojan horse, bug, spyware, malware, or any other computer code, file, application or software that may damage, interrupt or interfere with the Site; (e) distribute, modify, transmit, reuse, repost, publicize, use, reproduce, create derivative works of, reverse engineer, adapt, emulate, translate, compile, decompile, or disassemble the Site or the services contained therein (or any part thereof); (f) copy and use, or permit others to use, in any manner or form, the Content, for any purpose that is not personal use, or display the Content in any way, including by a way that changes or disrupts any Content, especially not for advertising, marketing or commercial use of any kind, provided that solely with respect to the Videos, you may share or present such Videos to other third parties; provided further, that upon any such use you shall indicate that the owner of the video in ART, and subject to other Terms indicated herein; and/or (g) create a database by systematically downloading and storing all or part of the Content thereof, including by way of automated data mining tools, crawlers, information scanning technologies, automatic retrieval or collection of information from the Site, and the like.

Use of the Site and the Content in violation to these Terms is strictly prohibited. Your failure to comply with the provisions set forth may expose you to civil and/or criminal liability.

2.     TITLE AND OWNERSHIP.

All intellectual property, including the Content, trademarks, trade names, logos, service marks, patents, copyrights or trade secret displayed on, embodied in, attached or connected or related to the Site, are registered and unregistered intellectual property rights of ART or its licensors (collectively, the “Intellectual Property”). The Site, including any revisions, corrections, modifications, enhancements and/or upgrades thereto, accompanying materials, and any copies thereof are owned by ART or its licensors, and are protected under copyright laws and treaties. Nothing contained on the Site should be construed as granting, by implication, estoppel, or otherwise, any license, interest or right to use any Intellectual Property without the written permission of ART or such licensors that may own the Intellectual Property. You should assume that everything you see or read on the Site is copyrighted and may not be used without the written permission of ART, except as specifically provided in these Terms or in the text on the Site. Nothing in these Terms constitutes a waiver of ART intellectual property rights under any law. 

3.     DISCLAIMER OF WARRANTIES.

The Site and the Content available therein are provided on an “as is” and “as available” basis, without warranty of any kind. ART will not be liable for any damages or loss incurred by you or any other person as a result of or in connection with your use of the Site and/or the Content available therein. In addition, ART will not be liable for any indirect, special, incidental, or consequential damages of any type including, without limitation, damages for loss of goodwill, data or profits, business interruption, computer failure or malfunction, destruction, failure to secure or prevent theft of Information, the existence of viruses, spyware, loss of income, penalties, losses or expenses, or any and all other commercial damages or losses. To the maximum extent permitted by applicable law, ART disclaims all warranties, including, without limitation, any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. ART further does not represent or warrant that the Site will always be available, accessible, functional, uninterrupted, secure, accurate, complete and error-free. ART assumes no responsibility, and shall not be liable for, any damages to, or viruses that may infect your computer equipment or other property on account of your access to, use of, or browsing in the Site or your use of any Content.

Your use of the Site and/or the Content available therein is entirely at your own risk.

ART assumes no responsibility or liability arising from any Content on the Site (including opinions, advice, statements, services, offers, or other promises, representations or warranties). ART maintains this Site as a service to the internet community. The Site has been designed to provide general information about ART and its products and/or services. You should not construe anything on this Site as a promotion or advertisement for any product and/or service or for the use of any product and/or service that is not authorized by the laws and regulations of your country of residence.

This Site and its Content do not, and are not intended to, provide medical advice and should not be interpreted or construed in any way as a replacement or substitution for medical advice provided by your doctor or healthcare provider. ART is not responsible or liable for the Contents of or use of any of the products or services that may be offered at these websites. ART reserves the right to remove any link at any time.

Furthermore, ART is free to use, without compensation to you, any ideas, concepts, know-how, or techniques contained in any communication you send to the Site by electronic mail or otherwise for any purpose whatsoever including, but not limited to, developing, manufacturing and marketing products using such information.

6.     CHANGES TO THE SITE AND/OR THE TERMS.

ART may, at its sole discretion, change, modify, add to, or delete any of the terms and conditions of these Terms, and/or the Content and/or the Site at any time, without any prior notice. The continued use of the Site, following any change to these Terms, constitutes the complete and irrevocable acceptance of any such change.

7.     TERMINATION.

At any time, ART may discontinue the use of the Site or any part thereof, at ART’s sole discretion, with or without any reason or prior notice.

8.     MISCELLANEOUS.

If any provision of these Terms is held to be unenforceable, such provision shall be reformed only to the extent necessary to make it enforceable and such decision shall not affect the enforceability of such provision under other circumstances, or of the remaining provisions hereof under all circumstances.

These Terms do not, and shall not be construed to create any relationship between ART and you.

No waiver by ART of any breach or default hereunder will be deemed to be a waiver of any preceding or subsequent breach or default.

ART may assign or transfer its rights under these Terms, or any part thereof, without the need for any consent.

9.     LAW AND JURISDICTION.

These Terms will be governed by, construed, and enforced in accordance with the laws of Israel, without regard to its conflicts of law principles or provisions. Disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Tel Aviv, Israel.
